Terms and Conditions

1. Agreement to Terms

These Terms and Conditions ("Terms") govern your access to and use of the Prop Smart Hub platform (the "Platform"), operated by 1908 Property Management (RC 9713124) ("we", "us", "our"). By creating an account, ticking the acceptance checkbox during registration, or using the Platform in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not register or use the Platform.

2. Eligibility and Account Registration

• You must provide accurate, current, and complete information during registration and keep it up to date.
• You must be at least 18 years of age, or have the legal capacity to enter a binding agreement in your jurisdiction.
• Registration is available for the following account types: Estate Admin / Estate Managers, Homeowners, and Staff (security, maintenance, accounting, and related roles).
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• Homeowner registration requires a valid estate invitation code issued by your Estate Admin / Estate Manager; staff and homeowner registrations are subject to verification and approval.

3. Subscriptions and Payments

• Estate subscriptions are offered in annual packages (Starter, Growth, and Enterprise) priced in Nigerian Naira (₦), with applicable taxes (including Nigerian VAT where relevant) added at checkout.
• Subscriptions run for a 365-day cycle beginning on the date the estate's payment is verified by Our Administrator.
• An estate's account access is automatically locked upon subscription expiry. Access is restored once the subscription is renewed and verified.
• Payments must reference the estate's registered name. We reserve the right to verify any payment before activating or renewing a subscription.
• Unless otherwise stated, subscription fees are non-refundable once the subscription period has commenced.

4. Roles, Responsibilities, and Access

• Estate Admin / Estate Managers are responsible for managing their estate's members, properties, finances, announcements, maintenance, and security operations within their estate only.
• Homeowners may access their resident portal, lodge maintenance and complaints, receive invoices, and generate visitor passes for their property.
• Security staff may validate visitor access at estate gates only via issued access codes or QR references; direct entry without a valid code is prohibited.
• Access levels are enforced by role-based permissions. Attempting to access data or functions outside your role or estate is a breach of these Terms.

5. Visitor Access Codes

Visitor access codes issued through the Platform are single-use, expire 24 hours after issue, and are permanently invalidated once a visitor checks out. Codes may not be shared, resold, or reused. Security personnel and estate administrators must follow the validation procedures built into the Platform.

6. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
• Misrepresent your identity, estate, or affiliation, or register a property or estate you are not authorised to manage or occupy.
• Interfere with or disrupt the Platform's operation, attempt unauthorised access, or probe the security of the Platform or other users' accounts.
• Upload malicious code, or scrape, harvest, or mass-download data belonging to other estates or users.
• Harass, threaten, or defame other users, including residents, staff, and administrators.

7. Financial Records and Invoicing

Invoices, payments, and account balances maintained on the Platform are administrative records provided for estate management purposes. While we aim for accuracy, estate administrators remain responsible for the correctness of the financial records they create and for their estate's own accounting and tax obligations.

8. Intellectual Property

The Platform, including its software, design, content, and branding, is owned by us and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable licence to use the Platform for its intended purpose. Data you submit (estate, property, and resident records) remains yours; you grant us the licence needed to store and process it to operate the Platform for you.

9. Availability and Suspension

We aim for continuous availability but do not guarantee uninterrupted service; maintenance, updates, and events beyond our reasonable control may cause downtime. We may suspend or terminate an account that breaches these Terms, fails verification, is inactive under estate lockout rules, or where required by law. Estate subscription lockout upon expiry does not delete your data; data may be retained per our Privacy Policy and as needed for legal and accounting obligations.

10. Disclaimers and Limitation of Liability

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose. To the maximum extent permitted by law, our total liability for any claim arising from or relating to the Platform is limited to the subscription fees you paid to us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages, or for losses arising from physical security incidents, visitor conduct, or third-party payment providers.

11. Privacy

Our collection and handling of personal data is described in our Privacy Policy, which forms part of these Terms. By accepting these Terms you also acknowledge the Privacy Policy.

12. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute will first be raised with us in good faith via the Contact page; unresolved disputes shall be subject to the exclusive jurisdiction of the competent courts of Nigeria.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated revision date, and continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
